Terms of Use.

These Terms of Use ("Terms") apply to your access to and use of the website at tpcsolars.com and all associated tools, calculators, and downloadable resources (the "Site"), operated by Hadid Group ("TPC", "we", "us"). By using the Site you agree to these Terms. If you do not agree, please do not use the Site.

1. About these Terms

These Terms govern only your use of the Site. They do not govern any binding supply or services agreement between you and TPC — a separate signed agreement (Supply Agreement, EPC Contract, or similar) governs that. Where there is a conflict between these Terms and a signed agreement, the signed agreement prevails.

2. Calculators & indicative figures

The Site provides calculators (residential ROI calculator, NZ Commercial & Utility Solar + BESS calculator, panel comparison tool) which produce indicative figures based on simplified assumptions and public market benchmarks.

Final pricing, system size, generation, payback, and grid impact will only be determined after: (a) a signed engagement, (b) a site survey, (c) a network connection / GXP study, (d) final equipment selection from the AS/NZS 4777.2 EESS-approved inverter list, and (e) any required resource consenting under the Resource Management Act 1991. We reserve the right to update calculator assumptions, benchmarks, and outputs at any time without notice.

3. NZ-only scope & region lock

The NZ Commercial & Utility Solar + BESS Calculator is calibrated for, and intended to be used only for, projects located in New Zealand. It uses an IP-geolocation soft check, an NZ region selector, an NZ postcode validator, and a self-confirmation checkbox to enforce this scope. By submitting the form you confirm the project site is in New Zealand.

If your project is located outside New Zealand, please use our multi-region savings calculator or request a quote directly. Outputs from the NZ calculator are not valid for projects in any other country.

4. Fair Trading Act 1986

Nothing on the Site is intended to mislead or deceive in trade. Where any statement on the Site could be construed as a representation under the Fair Trading Act 1986, that statement is qualified by the indicative-only disclaimer above and by these Terms. We use reasonable care to keep figures accurate but make no warranty of accuracy and accept no liability for figures relied on without a signed binding quote (subject to section 10).

5. Consumer Guarantees Act 1993

Where the Consumer Guarantees Act 1993 applies (i.e. you are acquiring a service for personal, domestic, or household use, or you are a small business under section 43(2) of the CGA), nothing in these Terms excludes, restricts, or modifies your rights under the CGA.

Where you are using the Site or our services in trade and we have agreed in writing to contract out of the CGA under section 43, those rights may be modified by the relevant signed agreement.

6. Intellectual property

All content on the Site — including text, graphics, logos, datasheets, calculator code, and methodology — is owned by or licensed to TPC and protected by NZ and international copyright, trade mark, and design rights. You may view, download, and print pages for your personal or internal business use only. You may not:

• Republish, redistribute, or commercially exploit Site content without written consent.
• Scrape, mirror, frame, or incorporate the Site or its outputs in another product or service.
• Remove, alter, or obscure any copyright, trade mark, or other proprietary notice.
• Use TPC names, logos, or marks in any way that suggests endorsement or affiliation without written consent.

7. Acceptable use

You agree not to: (a) use the Site for any unlawful purpose; (b) submit false or misleading information through any form or calculator; (c) interfere with the Site's security, availability, or integrity; (d) attempt to gain unauthorised access; (e) use the Site to transmit malware, spam, or harvest data; or (f) impersonate any person or entity.

8. Third-party links & services

The Site links to and embeds third-party services (e.g. Google Fonts, ipapi.co for IP geolocation, Formspree for form delivery, fonts.googleapis.com). We do not control these services and accept no liability for their content, availability, or terms. Your use of those services is governed by their own terms and privacy policies.

9. Availability & changes

We aim to keep the Site available but make no guarantee of uptime, accuracy, or fitness for any particular purpose (subject to section 5). We may at any time, without notice: change calculator assumptions or outputs; modify, suspend, or discontinue any feature; update these Terms (changes apply from the date of posting); or restrict access to specific regions, IP ranges, or users.

10. Limitation of liability

To the maximum extent permitted by law (and subject to section 5 where the CGA applies):

• The Site and all calculators are provided "as is" and "as available" without warranties of any kind.
• TPC will not be liable for any indirect, consequential, special, or incidental loss; loss of profits, revenue, savings, business opportunity, data, or goodwill; or any reliance loss arising from use of calculator outputs in the absence of a signed binding quote.
• Where TPC's liability cannot be excluded by law, our total aggregate liability for all claims arising out of or in connection with use of the Site is limited to NZ$100.
• This clause does not limit liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be limited under New Zealand law.

11. Indemnity

You will indemnify TPC for loss arising from your breach of these Terms, your unlawful or fraudulent use of the Site, or your reliance on calculator outputs in any binding commitment to a third party in the absence of a signed TPC quote.

12. Privacy

Our handling of your personal information is governed by our Privacy Policy, which forms part of these Terms.

13. Disputes & governing law

These Terms are governed by the laws of New Zealand. The courts of New Zealand have exclusive jurisdiction over any dispute, except that we may bring proceedings in any jurisdiction necessary to protect our intellectual property. We encourage you to contact us first at legal@tpcsolars.com so we can try to resolve the matter directly.

14. General

• Severability: if any clause is held unenforceable, the remainder remains in force.
• Waiver: a failure to enforce any clause is not a waiver of the right to do so later.
• Assignment: you may not assign your rights under these Terms; TPC may assign on notice as part of a corporate transaction.
• Entire agreement: these Terms together with our Privacy Policy and any signed agreement are the entire agreement between you and TPC in relation to the Site.
• Force majeure: TPC is not liable for any delay or failure caused by events beyond reasonable control.
